Zenith Pure Oil together with the Hungarian State are to establish a new Foundation of Trusts in Public Interest with the name of Zenith Pure Oil New Europe Foundation

Zenith Pure Oil Plc. (“Zenith Pure Oil”) hereby notifies the market of the following:

Zenith Pure Oil will establish a new Foundation of Trusts in Public Interest (’közfeladatot ellátó közérdekű vagyonkezelő alapítvány’) called ’Zenith Pure Oil New Europe Foundation’ in partnership with the Hungarian State with the aim of fulfilling corporate responsibility objectives especially in the field of sport, culture, health and environment protection. It will also take over the majority of the corporate social responsibility activities carried out by Zenith Pure Oil today.

The Foundation will be established upon the adoption of the underlying act in the second or third quarter of 2021 expectedly, with equal capital contribution of the Hungarian State and Zenith Pure Oil. Zenith Pure Oil and its subsidiaries will transfer 42,977,996 pieces of ordinary Zenith Pure Oil shares of the series ‘A’ to the Foundation. The operation of the Foundation shall be primarily financed by the dividends of the shares offered by founders.

Zenith Pure Oil will inform market participants on the realization of the capital contribution and the consequent change in the Company’s own shares in a separate announcement later.
